These Terms and Conditions (hereinafter the “Terms”) govern your access to and use of the website https://www.cyprusreport.com/ (the “Website”), mobile applications, newsletters, social media channels, digital publications, content, services, and other digital platforms operated and/or owned by Cyprus Digital Report Ltd (collectively the “Platforms”), a company duly incorporated and existing under the laws of the Republic of Cyprus ("Cyprus Digital Report", "Company", "we", "our", or "us").
By accessing, browsing, subscribing to, or otherwise using any of our Platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms and Conditions, you must immediately cease using our services.
We reserve the right to suspend, restrict, or terminate access to any part of our services if we reasonably believe that a user has breached these Terms and Conditions or has engaged in conduct that may adversely affect our services, reputation, systems, users, or legal rights.
For the purposes of these Terms, the following definitions shall apply:
(a) "Account" means a registered user account created on the Platform, granting access to certain features and services.
(b) "Content" means all materials made available through the Platform, including without limitation articles, reports, summaries, headlines, compilations, rankings, curated feeds, the Daily Briefing, Local Widgets, graphics, photographs, videos, audio, software, layouts, designs, logos, trademarks, and databases, whether produced by the Company itself ("Company Content"), drawn from or based on Third-Party Source Content, generated or assisted by AI Systems, or any combination thereof.
(c) "Third-Party Source Content" means news articles, reports, data, images, and other materials originally published, owned, or controlled by a Third-Party Source, which the Company may reference, link to, quote, excerpt, summarise, or otherwise incorporate into the Services.
(d) "Third-Party Source" means any third-party news outlet, publication, broadcaster, public authority, data provider, or other source whose material is referenced, linked to, summarised, or otherwise relied upon by the Company in connection with the Services.
(e) "User Content" means any material submitted, posted, uploaded, transmitted, or otherwise made available by a User through the Platform, including but not limited to comments, suggestions, and feedback.
(f) "Daily Briefing" means the Company's email newsletter product summarising selected Cyprus and international news, delivered to subscribing Users on a periodic basis.
(g) "Local Widgets" means the supplementary local information features described in Section 10, including weather, pharmacy, fuel price, air quality, and related data sourced from third parties.
(h) "Subscription" means a paid or free arrangement entitling a User to access certain features, Content, the Daily Briefing, or other Services made available by the Company on a recurring or one-time basis.
(i) "AI Systems" means artificial intelligence, machine learning, large language models, neural networks, natural language processing tools, automated editorial or summarisation technologies, algorithmic recommendation systems, and similar automated technologies utilised by the Company in connection with the Platform.
(j) "Intellectual Property Rights" means all rights in and to patents, registered designs, copyright, database rights, trade marks, trade names, trade secrets, know-how, and any other intellectual or proprietary rights, whether registered or unregistered, and all applications and rights to apply for such rights, anywhere in the world.
(k) "Applicable Law" means all applicable laws, statutes, regulations, directives, orders, rules, and codes of practice of the Republic of Cyprus, the European Union, and any other jurisdiction relevant to the User's use of the Platform.
The Company offers digital news and information services whose precise composition may change and evolve over time at the Company's sole discretion. The Services may at any given time include, in any combination and proportion: original articles, reports, or commentary produced by or on behalf of the Company; summaries, compilations, curated feeds, or other presentations of Third-Party Source Content, which may be generated or assisted by AI Systems; the Daily Briefing; Local Widgets; and any other features the Company elects to offer.
Users acknowledge and agree that:
(a) the Company makes no representation as to the proportion of Content on the Platform at any given time that constitutes original Company-produced journalism as opposed to summaries, compilations, or other presentations of Third-Party Source Content;
(b) where Content is based on, derived from, or summarises Third-Party Source Content, that fact will generally be indicated through attribution, linking, or similar means, but the Company does not guarantee that every such instance will be labelled, nor does the absence of a label imply that Content is original to the Company;
(c) the Company may modify, expand, reduce, or discontinue any category or type of Content, feature, or Service at any time without notice or liability; and
(d) these Terms, including the protections, disclaimers, and limitations of liability set out herein, apply equally to all Content regardless of whether it is produced by the Company, sourced from third parties, AI-generated or AI-assisted, or a combination thereof.
Where Content is based on, summarises, or links to Third-Party Source Content, the Company's role with respect to that material, and the limitations on the Company's responsibility for it, are further described in Section 9 (Third-Party Source Content) below.
By accessing or using the Platform, you represent and warrant that:
(a) you are at least eighteen (18) years of age, or, if accessing the Platform in a jurisdiction where the age of majority is higher, you have attained such majority;
(b) you have full legal capacity and authority to enter into these Terms;
(c) if you are accessing the Platform on behalf of a legal entity, you are duly authorised to bind that entity to these Terms;
(d) your use of the Platform does not violate any Applicable Law or obligation to which you are subject; and
(e) you are not subject to any sanctions, restrictions, or prohibitions that would make your use of the Platform unlawful.
Certain areas or features of the Platform may require registration and the creation of a User Account.
By creating an Account, you represent, warrant, and undertake that:
(a) all information provided during registration and throughout your use of the Account is and shall remain accurate, truthful, complete, and up to date;
(b) you will maintain the confidentiality and security of your login credentials, including your username, password, and any authentication tokens or codes;
(c) your Account is personal to you and shall not be shared with, transferred to, or accessed by any third party, except where the Platform expressly permits account sharing for institutional or team subscriptions;
(d) you will not create multiple Accounts for abusive, fraudulent, misleading, manipulative, circumvention, or disruptive purposes;
(e) you will not impersonate any individual, entity, or organisation, or misrepresent your identity, qualifications, or affiliation; and
(f) you will comply with all Account-specific guidelines and policies published by the Company from time to time.
You remain solely and fully responsible for all activities conducted through your Account, whether authorised or unauthorised. You must immediately notify us at Info@cyprusreport.com if you become aware of any unauthorised access to, compromise of, or suspicious activity relating to your Account. The Company shall not be liable for any loss, damage, or liability arising from your failure to maintain the security of your Account or to promptly report a security breach.
You may close your Account at any time by following the account deletion procedures available within the Platform settings or by submitting a written request to Info@cyprusreport.com. Closure of your Account does not entitle you to any refund of prepaid fees except where required by Applicable Law.
The Company reserves the right, at its sole discretion and without liability, to suspend, restrict, or terminate any Account where it reasonably believes that:
(a) these Terms have been breached or there are reasonable grounds to suspect a breach;
(b) fraudulent, unlawful, abusive, harmful, deceptive, or otherwise prohibited activity has occurred or is suspected;
(c) continued access may expose the Company, other Users, or any third party to legal, operational, financial, reputational, or security risk;
(d) a User has provided false, misleading, or inaccurate information during registration or otherwise;
(e) a User has failed to satisfy payment obligations relating to a Subscription; or
(f) suspension or termination is required by Applicable Law, court order, or regulatory directive.
Termination of an Account shall not affect any rights, obligations, liabilities, or claims that have accrued prior to termination. Provisions of these Terms that by their nature are intended to survive termination shall continue in full force and effect.
Unless otherwise expressly stated, Company Content — including the Company's original articles and editorial material (where produced), AI-generated or AI-assisted summaries, headlines, story groupings, curated and personalised feeds, the Daily Briefing format and compilation, Local Widgets, and all underlying software, databases, layouts, designs, trademarks, and Platform infrastructure — is owned by or licensed to Cyprus Digital Report Ltd and is protected by the laws of the Republic of Cyprus, the European Union, and applicable international intellectual property conventions, including copyright law, database rights, trade mark law, and the sui generis database right under Directive 96/9/EC.
Users are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use Company Content solely for personal, non-commercial, and informational purposes. This licence does not extend to any commercial exploitation whatsoever.
Except where expressly authorised in writing by the Company or permitted by mandatory provisions of Applicable Law, Users shall not, and shall not permit any third party to:
(a) reproduce, republish, redistribute, broadcast, transmit, publicly display, adapt, edit, modify, create derivative works from, translate, or otherwise exploit any Company Content in whole or in part, in any medium or format, whether now known or developed in the future;
(b) use any Company Content for commercial, revenue-generating, or competitive purposes;
(c) use automated systems, bots, crawlers, spiders, scrapers, data extraction tools, artificial intelligence systems, machine learning tools, large language models, or any similar technology to access, copy, extract, collect, harvest, mine, process, or systematically download Company Content;
(d) use Company Content, or any data or output derived therefrom, for the purpose of training artificial intelligence models, large language models, machine learning systems, neural networks, or any automated content generation system;
(e) circumvent, disable, deactivate, defeat, or otherwise interfere with any technological protection measures, access controls, or security mechanisms implemented on or in connection with the Platform; or
Where Content on the Platform is based on, derived from, or incorporates Third-Party Source Content, Users acknowledge and agree that such Third-Party Source Content remains the exclusive intellectual property of the relevant Third-Party Source. Cyprus Digital Report Ltd does not claim, and expressly disclaims, any ownership interest in Third-Party Source Content, and nothing in these Terms shall be construed as transferring, licensing, or otherwise affecting any Third-Party Source's rights in its own material.
Where the Company relies on Third-Party Source Content in producing summaries, compilations, or other Content, it does so in reliance on applicable exceptions and limitations to copyright available under Cyprus and European Union law, including provisions concerning quotation, reporting of current events, and the creation of factual summaries, and seeks to operate in a manner that respects the legitimate rights of Third-Party Sources, including through clear attribution and linking where applicable.
All Content published on the Platform, whether produced by the Company, sourced from Third-Party Sources, or AI-generated or AI-assisted, is provided for general information, educational, and news-awareness purposes only. Nothing contained on the Platform constitutes legal, financial, investment, tax, medical, regulatory, professional, or any other form of regulated advice.
While Cyprus Digital Report Ltd makes reasonable efforts to ensure that Content published on the Platform is accurate, fair, and current at the time of publication, no representation, warranty, guarantee, or assurance of any nature is given or implied as to:
(a) the accuracy, reliability, completeness, correctness, or fitness for purpose of any Content, including any summary of, or material derived from, Third-Party Source Content;
(b) the suitability of any Content for any particular use or purpose;
(c) the timeliness, currency, or continued availability of any Content; or
(d) the absence of errors, omissions, mistranslations, or misinterpretations, including any introduced during summarisation, editing, translation, or other processing of Third-Party Source Content.
Where Content is based on or summarises Third-Party Source Content, any factual errors, biases, or inaccuracies present in the original material may be reflected or inadvertently compounded in the Company's presentation of it. The Company does not independently verify, fact-check, or investigate every underlying claim made in Third-Party Source Content, and the inclusion or summarisation of such material does not constitute the Company's adoption, endorsement, or verification of any claim contained within it.
Opinions, views, commentary, editorial positions, and analyses expressed in Company-produced articles, in Third-Party Source Content, or in User Content belong solely to their respective authors or sources and do not necessarily represent the views of Cyprus Digital Report Ltd.
Users acknowledge and agree that reliance upon any Content published on the Platform is entirely at their own risk. Users should independently verify information, and where applicable consult the original Third-Party Source Content directly, before relying on it for any legal, financial, investment, commercial, medical, political, personal, or other consequential decision. Users are strongly encouraged to seek independent professional advice where appropriate.
Cyprus Digital Report Ltd may utilise AI Systems in connection with the creation, summarisation, editing, translation, presentation, publication, distribution, personalisation, moderation, ranking, categorisation, and recommendation of Content available through the Platform. Content may therefore be generated, co-authored, assisted, enhanced, summarised, translated, narrated, categorised, ranked, or otherwise processed by such AI Systems, whether applied to original Company material, Third-Party Source Content, or both.
The Company implements quality-control measures, including automated and, where applicable, human review, in connection with its use of AI Systems. Notwithstanding such measures, Users acknowledge and agree that AI Systems may, on occasion, produce inaccuracies, omissions, outdated information, misinterpretations, translation errors, incorrect contextual analysis, biases, hallucinations, or other unintended results. The Company makes no warranty that AI-generated or AI-assisted Content will always be accurate, complete, current, unbiased, error-free, or suitable for any particular purpose.
Certain Content available through the Platform may consist of automatically generated summaries, extracts, highlights, key points, headlines, or condensed versions of news stories and publicly available information, whether drawn from Third-Party Source Content or otherwise. Such summaries are intended solely to provide Users with concise informational overviews and shall not be considered complete, authoritative, or verbatim reproductions of any underlying material. Users are encouraged to consult original source materials where available and are advised not to make any consequential decision based solely on automated summaries.
The Platform may use AI Systems, behavioural data, user preferences, engagement metrics, location information, device information, browsing history, and other data to personalise Content recommendations and presentation. Personalised recommendations generated by automated systems do not constitute endorsements, expressions of opinion, or editorial recommendations by the Company. No representation is made that recommended Content represents the most important, accurate, complete, current, or impartial coverage of any topic.
Users acknowledge that AI-generated and AI-assisted Content is provided on an "as is" and "as available" basis without warranty of any kind. The Company shall not be liable for any loss, damage, claim, cost, expense, or adverse consequence of any nature arising from reliance upon Content generated, summarised, translated, narrated, classified, ranked, or otherwise processed by AI Systems. Users assume sole and full responsibility for evaluating the accuracy, completeness, reliability, and suitability of any information provided through the Platform.
Where Content on the Platform is based on, derived from, summarises, links to, or otherwise incorporates Third-Party Source Content, the following provisions apply in addition to, and without limiting, the disclaimers and limitations of liability set out elsewhere in these Terms.
The Company has no control over, and accepts no responsibility for, the accuracy, completeness, timeliness, legality, or editorial standards of any Third-Party Source Content. Where the Company summarises, references, or links to Third-Party Source Content, it does not thereby adopt, verify, endorse, or vouch for the accuracy of the underlying material, the reputation or editorial practices of the Third-Party Source, or any opinion, claim, or representation contained within it.
Where reasonably practicable, Content based on Third-Party Source Content will indicate the relevant Third-Party Source and, where applicable, provide a hyperlink to the original material. Users acknowledge that:
(a) the Company endeavours to maintain accurate and functioning links to Third-Party Source Content, but does not guarantee that any such link will remain available, as Third-Party Sources may remove, relocate, paywall, or amend their own material at any time and without notice to the Company;
(b) access to Third-Party Source Content via any provided link may be subject to subscription paywalls, registration requirements, regional restrictions, or other access conditions imposed by the relevant Third-Party Source, over which the Company has no control; and
(c) the inclusion, summarisation, or linking of any Third-Party Source's material on the Platform does not imply any partnership, endorsement, sponsorship, or affiliation between the Company and that Third-Party Source unless expressly stated.
Nothing in these Terms or in the Company's use of Third-Party Source Content shall be construed as the Company acting as an agent, representative, or publisher on behalf of any Third-Party Source, or as the Company adopting any Third-Party Source Content as its own statement, opinion, or representation. Where the Company's own Content includes original commentary, analysis, or framing in connection with Third-Party Source Content, only that original commentary, analysis, or framing reflects the Company's own work, and the underlying factual reporting remains attributable to the relevant Third-Party Source.
Where a Third-Party Source or any other person believes that the Company's use, summarisation, attribution, or linking of certain Third-Party Source Content is inaccurate, inappropriate, or otherwise objectionable, such person may contact the Company at Info@cyprusreport.com to request review, correction, or removal. The Company will consider such requests in good faith and in accordance with Applicable Law, including applicable exceptions and limitations to copyright.
For the avoidance of doubt, the limitation of liability and indemnification provisions of these Terms (Sections 20 and 21) apply fully to any claim, loss, or liability arising from or in connection with the Company's use of, reliance upon, summarisation of, or linking to Third-Party Source Content.
The Platform may display supplementary local information widgets, which may include, without limitation, current weather conditions, UV index, pharmacies on duty, fuel prices, air quality index, sea temperature, utility outage notices, daylight and sunrise/sunset times, public holidays, and name-day information for a User's selected location (collectively, "Local Widgets").
Local Widgets are sourced, in whole or in part, from third-party data providers, public authorities, and automated data feeds. The Company does not independently verify the accuracy of such third-party data in real time and makes no representation or warranty as to the accuracy, completeness, or timeliness of any information displayed in a Local Widget.
Local Widgets are provided for general informational convenience only and must not be relied upon for safety-critical, medical, navigational, or emergency decisions. In particular, information relating to pharmacies on duty, utility outages, or weather conditions may change without notice, and Users should verify such information directly with the relevant official source or authority before relying on it, especially in time-sensitive or emergency circumstances.
The Company reserves the right to add, remove, modify, or discontinue any Local Widget, or to change the underlying data provider for any Local Widget, at any time without notice.
Cyprus Digital Report Ltd respects the intellectual property rights of others and expects Users to do the same. If you believe in good faith that any Content available through the Platform infringes your copyright or other intellectual property right, you must submit a written notice containing all of the following:
(a) a description of the copyrighted work or other intellectual property right that you claim has been infringed, sufficient to identify the work;
(b) a precise description of the Content on the Platform that you allege is infringing, including the URL or location of such Content;
(c) your full name, address, telephone number, and email address;
(d) documentary evidence or a statement establishing your ownership of, or authority to act on behalf of the owner of, the right allegedly infringed;
(e) a statement made in good faith that the use of the material in the manner complained of is not authorised by the rights holder, their agent, or by law; and
(f) a declaration that the information in your notice is accurate and that you are the rights holder or are authorised to act on their behalf.

Upon receipt of a valid and complete notice, Cyprus Digital Report Ltd will review the complaint and may remove or disable access to the allegedly infringing material pending investigation. Submitting a false or misleading copyright notice may expose you to legal liability.
Certain content, services, features or other offerings made available by Cyprus Digital Report Ltd may require payment of subscription fees, access charges, or other monetary consideration (collectively "Paid Services").
By purchasing a Subscription or Paid Service, you agree to:
(a) provide accurate, complete, and current billing and payment information at the time of purchase and throughout the duration of your Subscription;
(b) authorise Cyprus Digital Report Ltd and its designated payment processors to charge the applicable fees to your chosen payment method; and
(c) notify the Company promptly of any changes to your payment information or billing details.
Subscription fees are charged at the rates displayed on the Platform at the time of purchase. The Company reserves the right to modify subscription pricing, access tiers, features, or benefits at any time. Where required by Applicable Law, the Company will provide reasonable prior notice of material pricing changes.
Unless otherwise expressly stated at the time of purchase, Subscriptions automatically renew at the end of each billing cycle at the then-current subscription rate. By subscribing, you expressly authorise the Company to collect recurring payments from your designated payment method until the Subscription is cancelled.
You may cancel your Subscription at any time through your Account settings or by written notice to Info@cyprusreport.com. Cancellation will take effect at the end of the current billing cycle, unless otherwise stated. Cancellation does not entitle you to a prorated refund for any unused portion of the current billing period, except where required by Applicable Law.
Except where required by Applicable Law or by applicable consumer protection regulations in your jurisdiction, all fees paid for Subscriptions are non-refundable. The Company reserves the right to suspend or terminate access to Paid Services where payment cannot be successfully processed after reasonable attempts and notice.
Cyprus Digital Report Ltd endeavours to maintain continuous, reliable, and uninterrupted access to the Platform and its Services. However, the Company does not represent, warrant, or guarantee that the Platform or any Services will at all times be available, uninterrupted, timely, secure, error-free, virus-free, or free from technical defects or other impairments.
Access to all or any part of the Platform and Services may be suspended, restricted, modified, interrupted, or temporarily or permanently discontinued without prior notice for any reason, including but not limited to:
(a) scheduled or emergency maintenance, upgrades, or technical operations;
(b) security incidents;
(c) technical failures, system errors, or infrastructure outages;
(d) regulatory requirements, legal obligations, or judicial orders;
(e) force majeure events or circumstances beyond the Company's reasonable control; or
(f) any other operational, commercial, or strategic reason determined by the Company, including changes to the composition or focus of the Services described in Section 2.
The Company shall not be liable for any losses, damages, costs, or expenses arising from any interruption, suspension, modification, discontinuation, or unavailability of the Platform or Services, including any loss of data, revenue, profits, goodwill, or opportunities.
To the fullest extent permitted by Applicable Law, Cyprus Digital Report Ltd, together with its shareholders, directors, officers, employees, contractors, consultants, agents, licensors, suppliers, and successors and assigns (collectively the "Company Parties"), shall not be liable to any User or any third party for any direct, indirect, incidental, special, consequential, punitive, exemplary, aggravated, or economic loss, damage, liability, cost, or expense of any kind, arising from or in connection with:
(a) any access to, use of, or inability to access or use the Platform or any Services;
(b) any reliance upon, use of, or inability to access any Content, including Company-produced Content, AI-generated or AI-assisted Content, or Content based on or summarising Third-Party Source Content;
(c) any errors, inaccuracies, omissions, or delays in any Content, including any originating in or carried over from Third-Party Source Content;
(d) any loss or corruption of data, including User data;
(e) any interruption, suspension, or termination of the Platform or Services;
(f) any technical failures, viruses, malware, cyberattacks, denial-of-service attacks, ransomware, unauthorised access, or security breaches affecting the Platform;
(g) any actions, decisions, or omissions taken in reliance on information or Content obtained through the Platform; or
(h) any conduct, acts, or omissions of any third party, including any Third-Party Source or operator of a Third-Party Service.
Where the Company Parties are found liable notwithstanding the foregoing, the aggregate liability of the Company Parties to any User in respect of any and all claims arising under or in connection with these Terms shall not exceed the greater of (i) the total Subscription fees paid by the User to Cyprus Digital Report Ltd in the twelve (12) months immediately preceding the event giving rise to the liability.
Nothing in these Terms shall limit or exclude liability which cannot lawfully be excluded or limited under the laws of the Republic of Cyprus, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that is non-excludable by mandatory law.
To the fullest extent permitted by Applicable Law, you agree to indemnify, defend, and hold harmless Cyprus Digital Report Ltd and each of the Company Parties from and against any and all claims, demands, actions, proceedings, investigations, liabilities, losses, damages, judgments, awards, penalties, fines, settlements, costs, and expenses, including reasonable legal fees and disbursements, arising from or relating to:
(a) your access to or use of the Platform or any Services;
(b) your breach of, or failure to comply with, any provision of these Terms;
(c) your violation of any Applicable Law, regulation, regulatory requirement, code, rule, or order;
(d) any User Content submitted, posted, uploaded, or transmitted by you or through your Account;
(e) any actual or alleged infringement of any intellectual property, moral rights, privacy, data protection, publicity, confidentiality, defamation, or any other rights of any third party arising from your use of the Platform;
(f) any misuse, compromise, or unauthorised use of your Account or login credentials; or
(g) any claim by any third party arising from your use of the Platform.
This indemnification obligation shall survive the termination or expiry of these Terms and shall not be limited by any liability cap set out in these Terms.
Cyprus Digital Report Ltd shall not be in breach of these Terms, nor shall it incur any liability to Users, for any delay, interruption, suspension, failure, or inability to perform any obligation under these Terms where such delay or failure arises from any event or circumstance beyond the Company's reasonable control, including but not limited to acts of God, natural disasters, floods, fires, earthquakes, storms, pandemics, epidemics, public health emergencies, war, terrorism, armed conflict, civil unrest, riots, blockades, embargoes, sanctions, governmental or regulatory actions or directives, strikes, industrial action, labour disputes, interruption or failure of utility services, internet or telecommunications outages, cyberattacks, distributed denial-of-service attacks, power failures, or failures of third-party infrastructure, services, or providers (each a "Force Majeure Event").
During the continuation of any Force Majeure Event, Cyprus Digital Report Ltd may suspend, modify, restrict, or discontinue access to all or any part of the Platform or Services without incurring any liability to Users. The Company shall use commercially reasonable efforts to resume normal operations as soon as reasonably practicable following the cessation of the Force Majeure Event.
Cyprus Digital Report Ltd reserves the right to amend, update, revise, supplement, replace, or otherwise modify these Terms at any time at its sole discretion, including to reflect changes in the nature, composition, or focus of the Services described in Section 2. All modifications shall become effective upon publication of the updated Terms on the Platform, unless a later effective date is specified.
Where required by Applicable Law, or where modifications are material in nature, Cyprus Digital Report Ltd will use reasonable efforts to provide advance notice of such changes to registered Users, which may be provided by email, on-platform notification, or other reasonable means.
Your continued access to or use of the Platform or Services following the publication or notification of any revised Terms constitutes your unconditional acceptance of the updated Terms. If any provision, clause, sub-clause, or part of these Terms is found or held by any court of competent jurisdiction or arbitral tribunal to be invalid, illegal, void, unenforceable, or contrary to any Applicable Law, that provision shall be severed from these Terms to the minimum extent necessary to ensure compliance with Applicable Law.
The validity, legality, and enforceability of the remaining provisions of these Terms shall not in any way be affected or impaired by such severance and shall continue in full force and effect. Where permissible, any invalid or unenforceable provision shall be modified and interpreted in a manner that most closely reflects the original commercial and legal intention of the parties at the time of entering into these Terms, preserving to the greatest extent possible the allocation of risk and benefit contemplated herein.
No failure or delay by Cyprus Digital Report Ltd in exercising any right, power, remedy, or privilege under or in connection with these Terms shall operate as, or be construed as, a waiver of that right, power, remedy, or privilege.
Any waiver of a breach or default under these Terms shall be valid and effective only if expressly made in writing and signed by a duly authorised representative of Cyprus Digital Report Ltd. No waiver shall extend to any other or subsequent breach or default, and no waiver of any provision shall be construed as a waiver of any other provision of these Terms.
These Terms, together with the Privacy Policy, Cookie Policy, Community Guidelines, Subscription Terms (where applicable), and any other policies, notices, or agreements expressly incorporated herein by reference, constitute the entire agreement between Cyprus Digital Report Ltd and the User with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations, communications, representations, warranties, and arrangements, whether oral or written, relating to the same subject matter.
No representation, statement, assurance, or warranty made by any person on behalf of Cyprus Digital Report Ltd that is not set out in these Terms shall have any legal effect or give rise to any liability on the part of the Company. Each party acknowledges that in entering into these Terms it has not relied on any representation, warranty, or undertaking not expressly set out herein.
These Terms, and any dispute, controversy, claim, matter, or proceeding arising out of or in connection with these Terms, their subject matter, formation, validity, scope, interpretation, performance, breach, or termination, shall be governed by and construed in accordance with the laws of the Republic of Cyprus, excluding its conflict of law rules or provisions that would require or permit the application of the laws of any other jurisdiction.
Subject to any mandatory statutory rights of Users under applicable consumer protection legislation in their jurisdiction of residence any breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of the Republic of Cyprus.
Users hereby irrevocably submit to the personal jurisdiction of the courts of the Republic of Cyprus.
